Terms of Use – Spire

1. Acceptance of Terms

By accessing or using the Spire platform ("Platform"), operated by BIX Tecnologia ("Company", "we", "us"), you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use the Platform.

2. Description of Service

Spire is a people management platform (SaaS) that provides tools for performance evaluation, OKRs, engagement surveys, celebrations, badges, announcements, 1-on-1s, individual development plans, and other human resources management features. Access is provided on a subscription basis.

3. Registration and Account

To use the Platform, you must create an account providing accurate and up-to-date information. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not: (a) use the Platform to transmit harmful, offensive, or illegal content; (b) attempt to gain unauthorized access to systems or data; (c) interfere with the operation of the Platform; (d) use the Platform to collect personal data of other users without authorization.

5. Intellectual Property

All content, software, design, trademarks, and other materials available on the Platform are the exclusive property of BIX Tecnologia or its licensors. No right or license is granted except for the limited right to use the Platform in accordance with these Terms.

6. Data and Privacy

We collect and process personal data in accordance with applicable data protection laws, including the Brazilian General Data Protection Law (LGPD). Each tenant (organization) is responsible for the data it inputs into the Platform. We use encryption, role-based access control, and industry best practices to protect your data. The Platform uses third-party analytics tools, including PostHog and Google Tag Manager, to monitor usage patterns and improve the service. We use ActiveCampaign to manage marketing campaigns and email communications, and Stripe to securely process subscription payments. For more details, see our Privacy Policy and Cookie Policy.

7. Subscription and Payment

Access to Platform features requires an active subscription. Billing details, pricing, and payment terms are presented during the subscription process. All payments are securely processed through Stripe, a PCI-DSS compliant payment platform. By subscribing, you agree to Stripe's Terms of Service for payment processing. We reserve the right to change pricing with prior notice. Failure to pay may result in suspension or termination of access.

8. Limitation of Liability

The Platform is provided "as is" and "as available". To the maximum extent permitted by law, BIX Tecnologia shall not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use the Platform. Our total liability shall not exceed the amount paid by you in the twelve (12) months preceding the claim.

9. Changes to the Terms

We reserve the right to update these Terms of Use at any time. Changes will be communicated through the Platform or via email. Continued use after changes constitutes acceptance of the revised terms.

10. Third-Party Integrations

The Platform offers optional integrations with third-party services to enhance functionality: (a) Google Sign-In: You may choose to authenticate using your Google account. By doing so, you authorize the Platform to receive basic profile information from Google for authentication purposes. This integration is governed by Google's Terms of Service and Privacy Policy in addition to these Terms; (b) GitHub Integration: Your organization may optionally connect GitHub accounts to the Platform for developer analytics purposes. By enabling this integration, your organization authorizes the Platform to access repository and contribution data. Use of this integration is subject to GitHub's Terms of Service; (c) Google Calendar Integration: You may optionally connect your Google Calendar to the Platform to facilitate scheduling of one-on-one meetings. By enabling this integration, you authorize the Platform to access your calendar availability. Use of this integration is subject to Google's Terms of Service; (d) ActiveCampaign: We use ActiveCampaign as our marketing automation platform to manage email campaigns, newsletters, and marketing communications. Your name and email may be shared with ActiveCampaign when you opt in to receive marketing communications. Use of this service is subject to ActiveCampaign's Terms of Service and Privacy Policy; (e) Stripe: We use Stripe as our payment processing provider to handle all subscription billing and payments. Your billing information is shared with Stripe to process transactions securely. Use of this service is subject to Stripe's Terms of Service and Privacy Policy. All third-party integrations are optional and require explicit consent before activation. You or your organization's administrator may disable any integration at any time. We are not responsible for the availability, accuracy, or policies of third-party services.
